(Extraordinary) General Meeting of Shareholders

In addition to the annual General Meeting of Shareholders, an Extraordinary General Meeting of Shareholders was held in 2006 about an alteration of the articles of association of n.v. Nuon.

Consultation with Substantial Shareholders

The Consultation with Substantial Shareholders was set up after the merger of 1999. It is an informal forum which is held alongside the General Meeting of Shareholders. This consultation with substantial shareholders takes place about five times a year and is aimed at facilitating a mutual exchange of information on developments as well as discussion and opinion-forming in an informal setting. In 2006 the topics discussed included:

  • The strategic (national and international) options of Nuon, ultimately resulting in the proposal to merge with Essent N.V.
  • The government’s unbundling plans
  • Alteration of the articles of association

Working sessions for shareholders

In 2006 working sessions were organised for the first time for representatives of the shareholders. At the end of the summer recess politicians and civil servants had an opportunity to attend two-day optional programmes. Participants could choose from five subjects to make closer acquaintance with Nuon. During dialogues in small groups, the various aspects of our company were dealt with at length and insight was provided into the organisation and the complexity of the energy sector.

The reactions were very positive and the working sessions will be repeated in 2007.
